This agreement (the 'Agreement') is made and entered into as of [Date] by and between [Donor's Full Name], an individual (the 'Donor'), and the Ynternet.org Foundation, a Swiss foundation (the 'Foundation').
The Donor agrees to make a donation of [Amount] (the 'Donation') to the Foundation to support the conceptualization, development and maintenance of the WikiDeal project (the 'Project'), as described and in permanent updates on www.wikideal.net.
The Donation is a donation, not an investment. It does not confer any ownership, share, claim or right of repayment. Once made, the Donation cannot be revoked and the Donor has no right of termination and no legal recourse regarding its use or the outcome of the Project.
The Foundation shall use the Donation solely for the purpose of developing and maintaining the Project, in accordance with the deliverables, governance and policies published on the WikiDeal site, as referenced in Appendix A.
A part of the incoming subscription revenue is allocated as a provision for the Foundation to finance the maintenance and development of the Project. [alignement dashboard, dictée 00:24]
The Foundation operates community redistribution mechanisms known as Rewards (terminologie à confirmer : « Rewards » partout plutôt que « Cash Rewards », dictée 00:24), governed by a bonding curve and an automatic Funding Stabilizer.
The rules of the game of the Rewards (how Rewards are specifically attributed, the applicable specifications, and how they can be transferred) are documented on the WikiDeal site: https://wikideal.net/wiki/Gov/en/Portal:Economy/Cash-Rewards (Appendix A). Rewards can be converted through a cash transfer (bank transfer to the holder's account) or a miles transfer, under the conditions published there.
Rewards are algorithms of community redistribution, not contractual promises of return. The activation of any Reward is subject to confirmation of the corresponding payments by the Foundation. The Donor acknowledges that Rewards are not guaranteed, may start very low, and may never materialize.
For the first tranche of CHF 200,000 donated for Prototype 1, the revenue from user subscriptions is entirely (100%) allocated to the redistribution to Reward holders. Reward redistribution is automatic and pro rata across all Reward holders.
Should this allocation be modified at a later stage, so that only a part of the subscription revenue is redistributed, the Foundation commits that, on average over Prototype 1 (the first million of donations), at least 50% of subscription revenue remains allocated to the redistribution to Reward holders. This commitment is made to protect the Donor's trust in the possibility of cashing out Rewards.
According to the WikiDeal fiscal study (see reference in Appendix A), for a user who transfers Rewards to cash:

The Donor acknowledges that there is no guarantee that the Project will achieve its deliverables. The Donation is made at the Donor's own risk.
The Project involves risks and uncertainties, including but not limited to regulatory, commercial, technical and operational risks. The Foundation makes no representations or warranties, express or implied, regarding the accuracy, completeness, or adequacy of the Project.
The Foundation shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the Donation or the Project.
The Foundation shall not be liable for any losses or damages arising directly or indirectly from the Donor's Donation or the development of the Project.
This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, representations, and understandings.
This Agreement shall be governed by and construed in accordance with the substantive laws of Switzerland. The courts of the seat of the Foundation shall have exclusive jurisdiction over any dispute.
