You are making a donation to help build WikiDeal, a global marketplace owned and run by its users. This is a Research & Development project, not a financial investment, and there are no guarantees. As a thank you, you receive "Rewards" calculated by a mathematical formula (bonding curve). If users purchase a subscription to use WikiDeal, execute transactions and access services (contract templates, arbitration, AI-assisted legal advice, human expert consulting, etc.), these Rewards progressively transform into cash: each time a subscription is purchased, a strict mathematical fraction (one 200-millionth) of this subscription is allocated to each Reward. Users can then transfer this cash to their bank account (via IBAN). Because there is no guarantee that any subscriptions will ever be purchased by users, this is strictly a donation with a reward, and not an investment.
This Donation Agreement outlines the legal terms of your contribution to the Ynternet.org Foundation for the WikiDeal Project. It details the allocation of funds towards the platform's development, the mechanics of the community redistribution system (Rewards, Need-Driven Funding, and the bonding curve multiplier), the strict absence of financial guarantees or ownership rights, and the individual tax responsibilities of the person making the donation. The use (or cash-out) of Rewards is conditional on being a subscriber, that is, on having paid one's WikiDeal subscription. The contribution is legally qualified as a donation within the meaning of Article 239 of the Swiss Code of Obligations (CO), the fifth part of the Swiss Civil Code.
This agreement (the 'Agreement') is made and entered into as of [Date] by and between [Supporter's Full Name], an individual (the 'Person making the donation'), and the Ynternet.org Foundation, a Swiss foundation (the 'Foundation').
The Supporter agrees to make a donation of [Amount] (the 'Donation') to the Foundation to support the conceptualization, development and maintenance of the WikiDeal project (the 'Project'), as described and in permanent updates on www.wikideal.net.
This contribution is a donation within the meaning of Article 239 of the Swiss Code of Obligations (CO — the fifth part of the Swiss Civil Code), which provides: "A gift is any inter vivos disposition in which a person uses her or his assets to enrich another without receiving an equivalent consideration." (Art. 239 para. 1 CO). The Parties expressly intend and agree that this Agreement constitutes such a donation.
The Donation is a donation, not an investment. It does not confer any ownership, share, claim or right of repayment. Once made, the Donation cannot be revoked and the Supporter has no right of termination and no legal recourse regarding its use or the outcome of the Project.
The Foundation shall use the Donation solely for the purpose of developing and maintaining the Project, in accordance with the deliverables, governance and policies published on the WikiDeal site, as referenced in Appendix A.
A part of the incoming subscription revenue is allocated as a provision for the Foundation to finance the maintenance and development of the Project.
The Foundation operates community redistribution mechanisms known as Rewards, governed by a bonding curve and the Need-Driven Funding mechanism.
The rules of the game of the Rewards (how Rewards are specifically attributed, the applicable specifications, and how they can be cashed out) are documented on the WikiDeal site: https://wikideal.net/wiki/Gov/en/Portal:Economy/Rewards (Appendix A). Rewards can be cashed out through a cash transfer (bank transfer to the holder's account), under the conditions published there and in the Cashout policy.
Rewards are algorithms of community redistribution, not contractual promises of return. Rewards are honoured only at the pace of user subscriptions: there is no guarantee of return and no guarantee of cash out, neither on timing nor on amount. The activation of any Reward is subject to confirmation of the corresponding payments by the Foundation. The Supporter acknowledges that Rewards are not guaranteed, may start very low, and may never materialize.
Transfer of Rewards: The transmission or transfer of Rewards to third parties is not guaranteed. It may be made possible depending on the platform's evolution, on the strict condition that the transferee is formally identified (KYC principle).
The amount of Rewards attributed to the Supporter is defined at the moment of the Donation, according to the bonding curve and the Need-Driven Funding mechanism, and announced to the Supporter when the Donation is made. That amount, and that amount exclusively, is attributed to the Supporter's Rewards. The amounts displayed in this Agreement are the ones generated by the bonding curve.
For the first CHF 200,000 raised in the first Donation Roundtable for Prototype 1 ('Roundtable 1'), the Reward multiplier is blocked at ×100. Beyond that point, the bonding curve declines and the Need-Driven Funding mechanism starts. The Donation becomes effective when the payment is confirmed: immediately in case of credit card payment, or upon receipt of a bank transfer, which can take up to 7 days. As soon as the Donation is effective, the Supporter's Rewards are active: redistribution can start from the first subscription received, within the minute following the activation of the Donation.
Cash out is available in increments of at least CHF 100: amounts below CHF 100 accumulate until the available balance reaches CHF 100.

The Ynternet.org Foundation gladly informs users on a case-by-case basis for any standard and usual questions, allowing for specific handling of the reward money issue.
The Supporter acknowledges that there is no guarantee that the Project will achieve its deliverables. The Donation is made at the Supporter's own risk.
The Project involves risks and uncertainties, including but not limited to regulatory, commercial, technical and operational risks. The Foundation makes no representations or warranties, express or implied, regarding the accuracy, completeness, or adequacy of the Project.
The Foundation shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the Donation or the Project.
The Foundation shall not be liable for any losses or damages arising directly or indirectly from the Supporter's Donation or the development of the Project.
This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, representations, and understandings.
This Agreement shall be governed by and construed in accordance with the substantive laws of Switzerland. The courts of the seat of the Foundation shall have exclusive jurisdiction over any dispute.
