Article 1 — Parties and Scope

This agreement is between the AI Music Producer (hereinafter "Producer") and the Performing Artist (hereinafter "Artist"), both registered on the WikiDeal Arts Portal. The Producer is a person skilled at producing complete songs and music catalogs using AI tools — including prompt engineering, AI music generation platforms, and post-production techniques. The Artist is a flesh-and-blood musician who brings performance skills that AI cannot replicate.

The scope of this contract covers the affiliation of the Artist with one or more songs from the Producer's AI-generated catalog, and the cooperative exploitation of those works through live performance, workshops, festivals, teaching, and other proximity-based revenue channels facilitated by the WikiDeal platform.

Both parties acknowledge that this partnership operates within the WikiDeal cooperative framework, where transparency, libre licensing, and community oversight are foundational principles. Neither party may claim exclusive rights over the works produced under this agreement.

Article 2 — AI-Produced Catalog and Artist Affiliation

The Producer creates songs and musical works using AI-assisted tools. These works form a catalog hosted on the WikiDeal Arts Portal. Each work in the catalog is documented with its creation method, AI tools used, and any human contributions made during production.

The Artist may affiliate with specific songs from the catalog by mutual agreement. Affiliation grants the Artist full usage rights to perform, interpret, adapt, and build upon the affiliated works — subject to the CC BY-SA 4.0 license terms and the revenue sharing provisions of this contract.

An Artist may affiliate with multiple songs; a song may have multiple affiliated Artists. Each affiliation is recorded on the platform with the date, parties, and specific terms. The Artist's interpretation, arrangement, and live performance of affiliated songs create derivative works in which the Artist holds co-authorship rights alongside the original AI-assisted composition.

Article 3 — Irreplaceable Human Skills Declaration

The Artist must declare the specific skills they bring that AI cannot replicate. These skills are the foundation of the partnership — they represent what makes the human contribution irreplaceable and valuable beyond what any AI tool can produce.

Examples of qualifying skills include (non-exhaustive):

• Guttural vocals, death growls, or extreme vocal techniques
• Yodeling and traditional vocal forms
• Overtone singing (throat singing, Tuvan techniques)
• Beatboxing and vocal percussion
• Specific instrumental virtuosity (extended techniques, unconventional playing)
• Stage presence, physical performance, and audience engagement
• Live improvisation and spontaneous musical creation
• Crowd interaction and participatory performance
• Extreme vocal range or unusual timbral qualities
• Cultural or traditional performance practices requiring embodied knowledge

The declared skills must be validated through the platform's Competency Evaluation Tool (see Article 8). The declaration is public and visible to both the Producer and Artist communities, ensuring transparency. This approach is inspired by research on the irreplaceable range of human vocal and performance abilities — the Artist brings what makes live music alive.

Article 4 — Libre Licensing and Usage Rights

All works created, interpreted, or derived under this contract are published under the Creative Commons Attribution-ShareAlike 4.0 International (CC BY-SA 4.0) license. This means:

• Anyone may share and adapt the works, provided they give appropriate credit and distribute derivatives under the same license
• No exclusive usage rights may be granted to any party — not the Producer, not the Artist, not any third party
• The affiliated Artist receives full usage rights to perform, record, distribute, and build upon their affiliated songs
• The Producer retains attribution as the creator of the original AI-assisted composition
• All sharing obligations of CC BY-SA 4.0 apply: derivative works must be shared under the same terms

This libre licensing framework ensures that the cooperative spirit of the partnership extends to the broader community. Works born from this collaboration enrich the commons and cannot be enclosed.

Article 5 — Revenue Sharing and Caps

Revenue generated from the exploitation of affiliated works is split transparently between the Producer and the Artist according to terms agreed upon affiliation and recorded on the platform. The default split is 30% Producer / 70% Artist for live performance revenue, reflecting the Artist's direct contribution to the live event. Different splits may be agreed for other revenue channels (workshops, teaching, recordings), provided they are documented on the platform.

Revenue Cap Mechanism: To prevent the AI Producer from earning disproportionately from a few hours of AI-assisted production work, the following cap applies:

• The Producer's cumulative earnings from any single song are capped at 10× the estimated AI production cost (time + tool costs, self-declared and platform-verified)
• Once the cap is reached, the revenue split shifts to 10% Producer / 90% Artist for that song
• The cap resets annually if both parties agree to renew the affiliation
• All revenue figures are visible to both parties and their respective communities on the platform

The cooperative spirit of this contract means the goal is not to make millions — it is to create sustainable, proximity-based income through live performance, community events, and shared creative work. The cap mechanism enforces this philosophy.

Article 6 — Performance and Exploitation Channels

Revenue under this contract is generated through proximity-based, community-oriented channels. All events and activities should be organized through or registered on the WikiDeal platform to ensure transparency and proper revenue tracking. Exploitation channels include:

• Live performances: Concerts, gigs, busking, open mic events, and private events where the Artist performs affiliated songs
• Workshops: Music workshops where the Artist teaches techniques related to their declared irreplaceable skills, using affiliated songs as material
• Venue and park rentals: Organization of music weekends, outdoor concerts, and community music events in rented spaces (see Annex: Venue Rental Contract)
• Festivals and fairs: Participation in local festivals, fairs, and cultural events (see Annex: Festival Participation Contract)
• Teaching and masterclasses: Private or group instruction where the Artist's unique skills are transmitted (see Annex: Teaching Contract)
• Digital distribution: Streaming and download revenue from recordings of the Artist's interpretations, subject to CC BY-SA 4.0

Each exploitation channel may have specific revenue split terms agreed in writing via the platform. The default split from Article 5 applies unless otherwise specified.

Article 7 — Community Oversight and Compensatory Measures

Both the Producer community and the Artist community have oversight roles in this contract framework. All contracts are visible on the WikiDeal platform, and both communities may review, comment on, and flag concerns about any active agreement.

Risk alerts are automatically generated by the platform for common contract violations:

• Late payment: If revenue distribution is delayed by more than 14 days past the agreed schedule, an automatic alert is sent to both parties and their communities
• Missed deadlines: If either party fails to meet agreed performance or delivery dates, the platform flags the breach
• Quality disputes: If either party raises a quality concern (e.g., the Artist's performance does not match declared skills, or the Producer's catalog does not match described quality), the community review process is triggered
• Cap circumvention: Any attempt to circumvent the revenue cap (e.g., by creating near-identical songs to reset the cap) is flagged and subject to arbitration

Standard compensatory measures for substantiated violations include: payment of delayed amounts plus a 5% late fee, renegotiation of terms, temporary suspension from new affiliations, and in severe cases, contract termination with arbitrated settlement. All compensatory measures are proportional and designed to restore fairness, not to punish.

Article 8 — Competency Evaluation and Validation

The WikiDeal platform provides a Competency Evaluation Tool for validating the Artist's declared irreplaceable skills. This tool is central to the contract's fairness — it ensures that Artists who affiliate with AI-produced songs genuinely bring skills that go beyond what AI can produce.

Evaluation process:

• The Artist submits evidence of their declared skills: video recordings, live audition links, portfolio of past performances, peer endorsements
• The platform's evaluation panel (composed of verified musicians, vocal coaches, and performance experts from the WikiDeal community) reviews the submission
• Skills are rated on a scale of AI-replicability: from "easily AI-replicable" (not qualifying) to "demonstrably beyond current AI capabilities" (qualifying)
• The evaluation result is public and attached to the Artist's platform profile

Periodic re-evaluation: As AI capabilities evolve, skills that were once irreplaceable may become replicable. The platform conducts annual re-evaluations of declared skills. If a skill is reclassified, the Artist is notified and given 90 days to declare new qualifying skills or renegotiate existing affiliations. This dynamic evaluation ensures the contract remains relevant as technology progresses.

Article 9 — Annex Contracts

The following annex contract models are referenced by this agreement and govern specific exploitation channels. Each annex is a separate WikiDeal contract model that can be activated as needed:

• Annex A — Venue / Park Rental Contract: Terms for renting spaces for music events, including insurance, noise permits, capacity limits, and equipment responsibilities
• Annex B — Workshop Organization Contract: Terms for organizing music workshops, including participant fees, materials, venue requirements, and skill-sharing obligations
• Annex C — Festival / Fair Participation Contract: Terms for participating in festivals and fairs, including performance slots, promotional obligations, travel costs, and revenue from merchandise
• Annex D — Teaching / Masterclass Contract: Terms for private or group instruction, including hourly rates, curriculum ownership (under CC BY-SA 4.0), student capacity, and cancellation policies

Annex contracts are activated by mutual agreement and recorded on the platform. Each annex inherits the libre licensing and community oversight provisions of this main contract.

Article 10 — Dispute Resolution

In the event of a dispute between the Producer and the Artist, the parties agree to the following resolution process:

1. Direct negotiation: The parties attempt to resolve the dispute directly via the platform's messaging system within 14 days of the dispute being raised
2. Community mediation: If direct negotiation fails, a mediator from the WikiDeal community (selected from a pool of trained volunteers) facilitates a resolution within 30 days
3. WikiDeal Arbitration Panel: If mediation fails, the dispute is submitted to the WikiDeal Arbitration Panel. Evidence — including all platform records, communications, revenue data, competency evaluations, and community reviews — is automatically available to the panel

Arbitration decisions are binding and recorded on the platform. The platform's reputation system reflects arbitrated outcomes: parties with a history of substantiated complaints may be subject to User Group review, conditional platform access, or temporary suspension from new affiliations.

All dispute resolution proceedings are conducted in the spirit of cooperative fairness. The goal is to restore the partnership where possible, not to assign blame or extract penalties.
